This Agreement

• This End User Agreement ("Agreement",) is between SmartEbook.com Co., Ltd ("SmartEbook.com") and you, the user. This Agreement covers all your use of the Services provided by SmartEbook.com, including the services SmartEbook provides through third party managed website (the "Service".)
• The Agreement states the terms of use for the Service. You are only authorized to use the Service (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to this Agreement.
• By registering, accessing or using the Service, you signify that you have read, understand and agree to be bound by the terms stated under this Agreement, whether or not you are a Registered User of the Service.

Definition

The following terms and expressions shall have the following meanings:

• This Site: E-Books and Comics (http://www.mobi-book.com), managed by SmartEbook.com.
• This Service: the services provided within this Site, including the services SmartEbook.com provides in the site managed by third parties.
• Registered User: Individuals who have completed the registrations specified by SmartEbook.com, and approved of membership account to use this Services.
• Registered E-mail Address: an e-mail address, which you have registered, for the purpose to receive this Service.
• Password: refers to a code you select to use this Service. In combination with the Registered E-Mail Address, SmartEbook.com identifies your information and authenticates your account.

Contract Term

• In addition to the Agreement, term and condition and guideline of this Service provided on this Site will constitute a part of the Agreement regardless of their names.
• In case of any discrepancy between the Agreement and other terms, such other terms and guideline shall supersede and be applied.

Notification of Changes

• The Agreement may be modified at any time without any prior notice or your approval.
• Any change made in the Agreement will be in effect after any notification is made on our site, by e-mail, and/or any other methods deemed applicable by SmartEbook.com.
• Any notification of such changes made on this Site and/or others stated previous section (4-2) will be in effect by the date the notice is available to the End User.

Membership Registration

Individuals interested in enrolling to this Service (the “Applicant”) can do so by completing the registration process specified by SmartEbook.com.　 Membership will start from the date SmartEbook.com approved the Registration.

Disapproval of Membership Registration

We may disapprove membership registrations if:

• the Applicant is fictional person and/or organizations;
• SmartEbook.com has previously terminated the Applicant for violation of the Agreement;
• false information is provided during the registration process, and/or information is not sufficient;
• SmartEbook.com deems the Applicant as inappropriate.

Prohibition of Transfer

You shall not rent, lease, sell, sublicense, assign and/or transfer the right to use this Service to any third party.

Change of Personal Information

You shall request SmartEbook.com for any change in personal information. This request shall be made by a method specified by SmartEbook.com. SmartEbook.com will not be responsible for any damage and/or disadvantage you suffer since the change of personal information is not requested at all, or request is not made as specified.

Withdrawal/Cancellation

Following instruction stated by SmartEbook.com, you may terminate this agreement and your membership account.

Fee for the Service

• You will be able to use paid service on this Site with points (the “Points”.) The Points can be obtained and/or purchased by the methods specified by SmartEbook.com. However, the Points expire six (6) month after the purchase.
• All Points purchase is final - the Points once you have purchased is not refundable in any circumstance.
• Unused Points will be eliminated at the time of your termination of membership, and SmartEbook.com will not provide a refund in any circumstance.

Registration for Handset Model Change

• If you ever choose to change your handset, you shall register your new handset by following the instructions stated by SmartEbook.com.
• You understand and accept that SmartEbook.com will not be able to comply with your handset registration if:
  • registered handset model is not supported to the Service and Site.
  • insufficient information (e.g. registered e-mail address, password etc) is provided to complete a process, and/or unable to identify the Registered User.
• In a case when SmartEbook.com is unable to comply with your request of handset model change, you will not be able to use the Service through such handset model.

Equipment

You are fully responsible for maintaining any equipment and any relating costs including, but no limited to, communication equipments, internet service, hardware, and/or soft wares necessary to use the Services.

Registered User’s Responsibility

• You shall not allow, provide, and/or share your membership account (email address ID and password) to a third party as well as any password used to authenticate your personal information (“Authentication Information”) in connection to the Service without consent of SmartEbook.com.
• You are fully responsible for maintaining a confidentiality of your password and account, and all activities that occur under your password or account regardless of these activities are in fact made by yourself or a third party.
• You are fully responsible for any claim and inquiry you and SmartEbook.com receive from third party due to your use of the Service regardless of whether the third party is not an individual.
• In accordance to Section 13-1, you are fully responsible to compensate any damages to third party and SmartEbook.com suffer due to your use of the Service under your membership account.
• SmartEbook.com is not responsible for damage(s) you suffer caused by a misuse of Authentication Information by third party.
• You shall inform SmartEbook.com and follow its instructions if you lost Authentication Information.

Prohibited Use

You are prohibited from the acts listed below:

• Reproduction, transfer, screening, and automatic public transmission of　data, information, and materials obtained from or listed on this Site and This Service without consent by SmartEbook.com and the owner of such copyrighted, trade marked materials;
• Violation, including attempt, potential, and possibility of violation, of Copyright, trademark and other intellectual property rights, Honorary rights, Privacy rights, and Publicity rights;
• Tempering and deleting information of SmartEbook.com and a third party by accessing through this Service;
• Use of Service as a third party;
• Unethical use of the Site and Service by using errors and glitches of on systems and programs (“Bugs”), and encouraging third party to do such acts;
• In additions to the acts stated above, any violation of laws, this Agreement, SmartEbook.com’s Intellectual property rights, defamation for third party and SmartEbook.com, as well as illegal access to the Site to interfere this Service Operation.

Change of Service

The Service may change at any time without any prior notice or your approval.

Service Interruption/Suspension

• The Service may be suspended at any time without any prior notice if:
  • Regular or emergency system maintenance is required to improve the Service;
  • Unable to provide the Service due to power outage and fire;
  • Unable to provide the Service due to natural disasters such as Earthquakes, Eruptions, Floods, Tsunami;
  • Unable to provide the service due to War, Riot, Labor Dispute and such;
  • SmartEbook.com deems that Service Interruption is necessary due to operational and technical issues to manage system and the Service.
• SmartEbook.com is not liable for any damages occurred to you or third party due to delay or interruption of the Service including and not limiting to the reasons stated under section 16-1 .

Disclaimer

SmartEbook.com is not responsible for any damage you or third party suffered due to your use or unavailability of use of the Service. The damage may include the damages arising due to problems between you and third party regarding to the Service and your or third party’s use of the Service. 2. You ensure that any content, material, information, and comment posted on the Site do not violate, or there is no possibility of violating any Intellectual property right, including, but not limiting to Honorary rights, Privacy Rights, and Portrait Rights. SmartEbook.com is not responsible if these rights have found to be violated, and any warning and claim are sent and a lawsuit is brought. It is your sole responsibility to correspond to the warnings, claims, and lawsuits, for such violations, and solve at your own risk and cost. 3. In accordance to section 17-2, SmartEbook.com has a right to demand you to compensate the amount claimed by third party for such damages on behalf of SmartEbook.com, as well as to compensate the amount for the damages SmartEbook.com suffers for such acts.

Service Cancellation

With prior notice, SmartEbook.com may cancel portion of this Service or its entirety. SmartEbook.com is not responsible for any damages and disadvantages you and third party suffer due to this Service Cancellation.

Measures for Violations of the Agreement

• SmartEbook.com has a right to take following measures If SmartEbook.com deems it necessary when SmartEbook.com receives claims and lawsuits from third party in regards to your use of the Service. In addition to the reasons above, following measures are also taken when SmartEbook.com deems that your use of the Site and Service is inappropriate applicable in connection to operating and managing the Site and Service.
  • SmartEbook.com will demand you to stop violating the Agreement, and not to repeat similar acts.
  • SmartEbook.com will demand you to hold a discussion with a third party for a relief in relate to claims, law suites and to implement any measures necessary to solve the issue.
  • With prior notice, SmartEbook.com will suspend your membership account, or terminate your membership. However, notification may be sent after the fact if urgent correspondence is required.
• Previous section does not deny basic terms stated on section 13. Registered User’s Responsibility.
• You understand, agreed and accept that SmartEbook.com is not obligated to take measures stated under section 19-1. Any damage and disadvantages you suffered in accordance to such measures shall be disclaimer to SmartEbook.com.

Termination

• In addition to the section 1-3, SmartEbook.com has a right to suspend or terminate a part or whole access of your membership account without any prior notice when:
  • SmartEbook.com deems that Term 6-1 is applied;
  • SmartEbook.com deems that your use of the Site and Service are inappropriate;
• When you have multiple membership accounts and some of these accounts are suspended or terminated, SmartEbook.com has a right to suspend or terminate all of your relating membership accounts in accordance to section 1 or section 1-3.
• SmartEbook.com has a right to claim the compensations for any damages suffered due to your violation of section 14, and/or any terms listed under section 1;

Personal Information

SmartEbook.com is committed to respecting your privacy and the confidentiality of your personal data. SmartEbook.com may use and manage your personal data as stated under the Privacy Policy listed on the Site.

Jurisdiction

This Agreement shall be governed by the laws of Japan without regard to conflicts of law provisions. Any dispute, controversy or claim arising hereunder, out of or in relation to this Agreement shall be exclusively filed with and settled at competent court in Tokyo. In this regard, the parties hereto do submit their respective personal jurisdiction to the above court.
